Purchases
If you wish to purchase any course made available through our website, you may be asked to supply certain information relevant to your purchase including, without limitation, your name, phone number and address. This information will be shared with other websites that process our payments and will not be used for any other purpose by ACI.
AUTHORITY TO EXECUTE DOCUMENTS, CONTRACTS, PURCHASES, AND FINANCIAL OBLIGATIONS
Purpose
The purpose of this policy is to establish clear authority limits for employees, managers, officers, and agents of Austin Career Institute LLC (“ACI”), to protect the institution from unauthorized obligations, liabilities, transfers of assets, or commitments that may adversely affect the Company’s operations, financial condition, ownership, accreditation, licensing, or regulatory standing.
Delegation of Authority
Except as otherwise provided herein, the Owners of Austin Career Institute LLC shall possess ultimate authority to execute contracts, purchase orders, financial commitments, leases, loans, financing agreements, vendor agreements, and other binding obligations on behalf of ACI, subject to the requirements set forth in this policy.
The following authority limits are established:
- Department Directors: May approve and execute purchases, purchase orders, and operational commitments up to One Thousand Dollars ($1,000) per transaction, provided such expenditures are within approved budgets and ordinary business operations.
- Campus President: May approve and execute purchases, purchase orders, and operational commitments up to Two Thousand Five Hundred Dollars ($2,500) per transaction, provided such expenditures are within approved budgets and ordinary business operations.
- Owners of Austin Career Institute LLC: Authority as provided herein and subject to the requirements for unanimous owner consent set forth below.
No employee, manager, officer, or agent other than the Owners of Austin Career Institute LLC may execute any contract, agreement, purchase order, lease, financing arrangement, borrowing transaction, guarantee, settlement agreement, or other obligation exceeding their delegated authority.
Checks and Payment Restrictions
No check, electronic payment authorization, wire transfer authorization, ACH authorization, or other payment instrument in excess of Ten Thousand Dollars ($10,000) shall be valid unless expressly approved in writing by the Owners of Austin Career Institute LLC as required by this policy.
ACI reserves the right to reject, stop payment on, void, cancel, rescind, or refuse to honor any payment, check, authorization, agreement, contract, purchase order, or commitment issued in violation of this policy.
Reserved Corporate Authority
Notwithstanding any delegation of authority contained herein, the following actions are exclusively reserved to the Owners of Austin Career Institute LLC and may not be undertaken by any other employee, officer, manager, administrator, contractor, or agent of ACI:
a. The sale, transfer, merger, acquisition, dissolution, reorganization, or disposition of all or any substantial portion of ACI’s business, assets, operations, ownership interests, licenses, permits, approvals, accreditation rights, goodwill, or intellectual property;
b. The execution of any agreement that materially affects the ownership, governance, control, assets, liabilities, operations, or financial condition of ACI;
c. The borrowing of money, obtaining of financing, establishment of lines of credit, issuance of guarantees, assumption of debt, granting of security interests, pledging of assets, or creation of liens or encumbrances;
d. The execution of leases, real estate transactions, financing agreements, capital expenditures, vendor agreements, settlement agreements, or other commitments exceeding established authority limits;
e. Any transaction that could reasonably be expected to impair, encumber, transfer, diminish, or materially affect ACI’s assets, operations, financial viability, accreditation status, licensing status, ownership interests, permits, approvals, or regulatory standing.
Actions Requiring Unanimous Owner Consent
Notwithstanding any other provision of this policy, the prior written approval and signatures of all Owners of Austin Career Institute LLC shall be required for any of the following actions:
a. The sale, transfer, merger, acquisition, dissolution, reorganization, or disposition of all or any substantial portion of ACI’s business, assets, operations, ownership interests, licenses, permits, approvals, accreditation rights, goodwill, or intellectual property;
b. Any transaction involving the purchase, sale, lease, financing, encumbrance, or transfer of real property or any material interest therein;
c. The borrowing of money, establishment of lines of credit, issuance of guarantees, assumption of debt, granting of security interests, pledging of assets, or creation of liens or encumbrances against Company assets;
d. Any contract, agreement, commitment, settlement, capital expenditure, financing arrangement, vendor agreement, purchase agreement, or series of related transactions that creates an actual or potential financial obligation exceeding Ten Thousand Dollars ($2,500);
e. Any transaction that materially affects the ownership, governance, control, assets, liabilities, operations, financial condition, accreditation status, licensing status, regulatory standing, or continued operation of ACI;
f. Any action that may reasonably be expected to result in the sale, transfer, loss, encumbrance, impairment, or material diminution of Company assets, ownership interests, accreditation rights, licenses, permits, approvals, institutional operations, or financial viability.
No individual Owner, officer, employee, manager, administrator, contractor, or agent shall have authority to independently approve or execute any transaction described in this section.
Any agreement, contract, commitment, financing arrangement, payment authorization, or transaction entered into without the required unanimous written consent of all Owners shall be deemed unauthorized, outside the scope of the individual’s authority, and not binding upon Austin Career Institute LLC to the fullest extent permitted by law.
Operational and Administrative Exceptions
The restrictions contained in this policy shall not apply to documents executed by employees, managers, officers, or administrators in the ordinary course of their assigned duties and responsibilities, provided such documents do not create unauthorized financial, contractual, ownership, borrowing, leasing, or other binding obligations on behalf of ACI.
Authorized operational documents include, but are not limited to:
1. Admissions personnel executing student enrollment agreements, admissions forms, enrollment-related documents, disclosures, acknowledgments, and student records;
2. Academic Affairs, Student Services, Education, Compliance, and Registrar personnel executing attendance records, academic warnings, satisfactory academic progress notices, student counseling forms, disciplinary actions, graduation documents, and other student-related records;
3. The President, Dean, Campus Office Manager, Compliance Officers, Financial Aid personnel, and designated administrators executing reports, attestations, applications, correspondence, certifications, records, and documents required for accreditation, licensing, regulatory compliance, governmental reporting, audits, financial aid administration, and institutional operations;
4. Employees executing administrative, academic, student, financial aid, human resources, compliance, operational, and regulatory documents within the scope of their assigned job duties that do not create contractual, financial, purchasing, borrowing, leasing, ownership, or other binding obligations upon ACI beyond their delegated authority.
Unauthorized Acts
Any contract, agreement, purchase order, lease, financing arrangement, debt obligation, guarantee, commitment, payment authorization, or other transaction executed in violation of this policy shall be deemed unauthorized and outside the scope of the individual’s authority.
Any employee who exceeds the authority granted under this policy may be subject to disciplinary action, including termination, and may be held personally responsible to the fullest extent permitted by law for losses, damages, costs, or liabilities resulting from such unauthorized actions.
Nothing in this policy shall be construed as granting apparent, implied, or actual authority beyond the limits expressly stated herein.
